Terms and Conditions governing use of Swyft Web Studio services for web development, SEO, and digital marketing.
These Terms and Conditions ("Terms") govern your use of the Swyft Web Studio website and all services provided by Swyft Web Studio ("Company," "we," "us," or "our"). By accessing our website or engaging our services, you agree to these Terms in full. If you disagree with any part, please do not use our services.
Swyft Web Studio provides the following professional digital services to clients, primarily located in the United States:
All services are subject to a written proposal or statement of work agreed upon by both parties. Work outside the agreed scope requires a formal change order.
All engagements commence upon: (a) written acceptance of our proposal by the client; (b) receipt of the required deposit; and (c) execution of any applicable NDA. Proposals are valid for 30 days from issuance. We reserve the right to revise pricing for proposals accepted after this period.
A non-refundable deposit of 50% of the total project value is required before work commences. This covers initial planning, research, design, and resource allocation costs.
The remaining balance is due upon project completion and before the final handover of deliverables, access credentials, or live deployment. For projects over $5,000 USD, milestone-based payment schedules may be agreed in writing.
Invoices unpaid after 10 business days may result in work being paused. A late fee of 1.5% per month may be applied to overdue balances. We reserve the right to withhold final deliverables until full payment is received.
All invoices are issued in USD. Bank transfer fees and currency conversion costs are the client's responsibility.
Upon receipt of full payment, all intellectual property rights to the completed deliverables β including website code, design files, app code, and custom content β transfer to the client. Third-party assets (stock images, fonts, plugins, open-source frameworks) remain subject to their respective third-party licenses. Swyft Web Studio retains the right to display completed work in our portfolio unless the client requests otherwise in writing.
Clients agree to: provide all required content and materials within agreed timeframes; designate a point of contact authorized to give approvals; provide timely feedback (within 5 business days of each milestone); and ensure they hold all necessary rights for content supplied to us. Client delays may extend project timelines proportionally.
Each package includes a defined number of revision rounds as stated in the proposal. Revisions must be consolidated and submitted in writing. Additional revision rounds beyond the included amount are charged at our standard hourly rate, communicated before work begins.
We maintain strict confidentiality regarding all client information and project details. We will sign a formal NDA upon request. We will not disclose your confidential information to any third party without your written consent, except as required by law.
We warrant that all work will be performed with professional skill and care in accordance with the agreed specifications. We do not guarantee specific outcomes such as particular search engine rankings, conversion rates, or revenue results, as these depend on factors beyond our control including search algorithm changes, market conditions, and client implementation.
To the maximum extent permitted by applicable law, our total liability for any claim arising from our services shall not exceed the total fees paid in the preceding 3 months. We shall not be liable for indirect, incidental, consequential, or punitive damages of any kind.
Either party may terminate with 14 days' written notice. Upon termination, the client will be invoiced for all work completed to date on a pro-rata basis. The initial deposit is non-refundable. All completed deliverables will be released upon settlement of outstanding balances.
These Terms are governed by the laws of India. Any disputes shall first be attempted via good-faith negotiation. Unresolved disputes shall be submitted to arbitration in New Delhi, India, under the Arbitration and Conciliation Act, 1996.
